Agreement
These Terms of Service ("Terms") govern access to and use of Marketclip Studio (the "Service"), operated at marketclip.studio. By creating an account, subscribing, or otherwise using the Service, you agree to these Terms.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
The Service
Marketclip Studio is an AI-powered workspace for generating, editing, and exporting marketing video content. Features include media generation through third-party AI providers, team workspaces, credit-based usage, subscription billing, and server-side export.
We may update, suspend, or discontinue features at any time. We will use reasonable efforts to avoid material adverse changes to paid features you are actively using.
Accounts and eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must provide accurate registration information and keep it current. Notify us promptly at the contact email below if you suspect unauthorized access.
Teams, roles, and invitations
The Service is organized around team workspaces. Workspace owners and admins may invite members and assign roles (owner, admin, member, viewer). Owners are responsible for subscription and payment methods associated with their workspace.
Seat fees and subscription charges apply as described at checkout and in your workspace billing settings.
Subscriptions, credits, and payments
Paid plans, per-seat fees, and credit top-ups are processed by Stripe. By subscribing or purchasing credits, you authorize us and Stripe to charge your selected payment method for recurring and one-time fees disclosed at checkout.
Subscription fees renew automatically until canceled. Credits purchased as top-ups do not expire unless stated otherwise at purchase. Unused subscription credits may roll over subject to plan limits shown in the product.
Prices and plan features may change; we will provide notice where required by law before changes apply to an existing subscription.
Refunds are handled in accordance with applicable law and our billing policies. Contact us if you believe a charge was made in error.
Bring your own key (BYOK)
You may connect your own API keys for certain third-party AI providers. When BYOK is enabled, usage bills directly to your provider account. You are responsible for key security, provider terms, and any charges incurred with that provider.
Your content
You retain ownership of prompts, uploads, generated media, timelines, and other materials you submit or create through the Service ("User Content").
You grant us a limited license to host, process, transmit, and display User Content solely to operate, secure, and improve the Service — including routing generation requests to AI providers and rendering exports.
You represent that you have all rights necessary for User Content and that it does not violate law or third-party rights.
Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent activity.
- Generate or distribute content that violates intellectual property, privacy, or other rights.
- Attempt to probe, scan, or test the vulnerability of the Service without authorization.
- Interfere with or disrupt the Service, including by excessive automated requests.
- Resell or sublicense the Service except as expressly permitted.
AI outputs and disclaimers
AI-generated outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are solely responsible for reviewing outputs before publication or distribution.
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
Termination
You may cancel subscriptions through billing settings or by contacting us. We may suspend or terminate access if you violate these Terms, fail to pay fees, or if required for security or legal reasons.
Upon termination, your right to use the Service ends. Provisions that by nature should survive (including payment obligations, disclaimers, and limitations of liability) will survive.
Limitation of liability
To the fullest extent permitted by law, our total liability for any claim arising from or related to the Service is limited to the greater of (a) amounts you paid us in the twelve months before the claim or (b) one hundred U.S. dollars.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory local law applies.
Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires a different forum.
Changes
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may be communicated by email or in-product notice where required.
Continued use after changes become effective constitutes acceptance of the revised Terms.
